Last updated 4 September 2026. These terms govern the sale of goods by Nixovan LLC to business buyers. They do not apply to consumers, and we do not sell to consumers.
1. Application
These terms apply to every quote, order and sale by Nixovan LLC (“Nixovan”, “we”) unless varied by a written agreement signed by both parties. Terms printed on a buyer’s purchase order that conflict with these terms have no effect unless we accept them in writing.
2. Accounts
Accounts are available to businesses only. We may require a business registration, a resale or sales-and-use tax certificate, and evidence of the sales channel. We may decline or close an account at our discretion. You are responsible for keeping account and tax documentation current.
3. Quotes and orders
Quotes are valid for 7 calendar days unless stated otherwise, and are subject to stock remaining available. Quotes are not an offer capable of acceptance where the stock has been allocated elsewhere in the interim; in that case we will tell you promptly and requote.
An order is formed when we accept your written acceptance of a quote or your purchase order. Product images on this website are representative line-card illustrations, not photographs of the goods supplied; manufacturer photography and datasheets are provided on request.
4. Pricing
Pricing displayed on this website is indicative and does not constitute a quote. Firm pricing is given in writing and reflects quantity, condition grade, freight terms and account history. Prices exclude freight and applicable taxes unless expressly stated.
Where a price is manifestly erroneous, we may correct it before dispatch and give you the option to cancel the affected line.
5. Payment
Unless credit terms have been approved in writing, orders are prepay. Approved accounts are net 30 from invoice date. Credit limits and terms may be reviewed or withdrawn at any time.
Overdue amounts may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower. We may suspend shipments on an account with overdue balances.
6. Delivery, title and risk
Delivery dates are estimates given in good faith and are not guaranteed. We are not liable for delay caused by carriers, manufacturers or events outside our reasonable control. Goods ship FOB origin unless agreed otherwise in writing; title and risk pass on collection by the carrier. Full shipping detail is in the shipping policy.
7. Condition and description
Goods are supplied in the condition grade stated on the quote. Our grading standard is published in the grading guide. Where a grade is stated, it forms part of the description of the goods.
8. Warranties
New goods carry the manufacturer’s warranty. Refurbished goods carry a 90-day Nixovan replacement warranty as set out in the returns policy. Save as expressly stated, and to the maximum extent permitted by law, all other warranties, conditions and terms — express or implied, including implied warranties of merchantability and fitness for a particular purpose — are excluded.
9. Compliance representations
Where we state that goods are TAA compliant or free of covered equipment under Section 889 of the 2019 NDAA, that statement applies to the specific lot identified on the quote. It is your responsibility as the contractor of record to satisfy your own compliance obligations. Compliance statements are provided in writing on request and are not implied by a product listing.
10. Intellectual property
Manufacturer names, trademarks and model designations are the property of their respective owners and are used to identify the goods we distribute. Nixovan LLC is an independent distributor and is not an authorised reseller of, affiliated with, or endorsed by those manufacturers unless expressly stated for a specific line.
11. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability arising out of any order is limited to the invoiced value of the goods giving rise to the claim. We are not liable for loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss.
12. Resale obligations
You are responsible for compliance with the rules of any marketplace or channel you resell through, for accurate condition disclosure to your own customers, and for any regulatory approvals applicable in the territory you sell into.
13. Governing law
These terms are governed by the laws of the State of Georgia, United States. The courts of Forsyth County, Georgia have exclusive jurisdiction, and both parties submit to that jurisdiction.
